ViaVela Machina End-User License Agreement
DRAFT — NOT LEGAL ADVICE. Attorney review required before use.
TEMPLATE. Draft for ViaVela Solutions LLC (a Nebraska limited liability company) for ViaVela Machina (also referred to as DiagAI), a desktop diagnostics and shop application that works online by default and offline when the connection fails. This is the highest-liability document in the ViaVela suite — the software can transmit commands to a live vehicle ECU. Have a licensed attorney review it, and consider counsel experienced with product liability, before you distribute the software. Fill every bracketed
[…]item and delete this banner first. Written against the Machina codebase as of 2026-10-25 (workbench source fc72e08 plus the shop-management module in development); first drafted 2026-08-18. The safety controls described in Sections 4–6 are enforced in software; if they change, this document must change with them.
ViaVela Machina End-User License Agreement
Last updated: [DATE — fill before publishing]
This Agreement is between ViaVela Solutions LLC ("ViaVela," "we") and the individual or entity installing the software ("you"). By installing or using ViaVela Machina ("the Software"), you accept it. If you do not accept, do not install or use the Software.
1. Licence
We grant you a non-exclusive, non-transferable, revocable licence to install and use the Software on hardware you control, for diagnosing vehicles you own or are authorized to service. You may not sublicense, resell, rent, or redistribute it, and you may not reverse-engineer it except to the extent that restriction is unenforceable under applicable law.
2. What the Software is
A diagnostic assistant and shop tool: it reads diagnostic trouble codes, freeze frames, and live parameters from a vehicle over an OBD-II adapter, identifies the vehicle from its VIN using a public government service, keeps a local case record, keeps your shop's customer, vehicle, parts and work-order records, provides an AI chat aid that runs on your own machine, and displays wiring diagrams and reference material you have obtained. It needs no internet connection to read a vehicle; without one, vehicle identification falls back to details already saved or entered by hand.
It is a diagnostic aid for a qualified technician. It is not a substitute for training, for official OEM service information, or for your own judgment.
3. VEHICLE SAFETY — READ THIS
Working on vehicles is dangerous. The Software connects to a vehicle's diagnostic bus. Ordinary diagnostics — reading fault codes, live data and freeze frames, and clearing stored codes — send standardized OBD-II requests to the vehicle; clearing codes asks you to confirm first. Beyond that, the Software can transmit an actuator command to a live electronic control unit in only two ways: a qualified active test (Section 5A), and the custom-command path of Professional Mode (Section 5).
A wrong command sent to an ECU can move actuators, change ECU state, disable a safety system, damage the vehicle, or create a condition that injures someone. Vehicles can also move, start, or engage systems in response to bidirectional commands.
You are responsible for: verifying the vehicle is in a safe state and secured before any test; keeping people clear; knowing the correct procedure from official OEM service information; and deciding whether any command is appropriate for the specific vehicle in front of you. Never rely on this Software as the sole basis for a repair, a road-worthiness decision, or a safety-critical judgment.
4. Placeholder actuator tests are blocked, and must stay blocked
The Software contains a catalogue of bidirectional "active test" entries whose payloads are unvalidated placeholders. Execution of those entries is disabled in software and they are labelled as framework-only.
You must not modify, patch, or circumvent that block. Doing so — including by editing the Software, its configuration, or its data files — transmits guessed commands to a real ECU. If you do it, you do it entirely at your own risk, the licence granted here terminates immediately, and ViaVela disclaims all responsibility for the consequences to the fullest extent permitted by law.
5. Professional Mode — the only path that transmits a custom command
The built-in active-test entries are unvalidated placeholders and are blocked from executing. A separate, provenance-gated path allows a qualified technician to run a custom actuator command they have validated. It executes only when all of the following hold:
- Professional Mode is switched on (it is off by default);
- a licensed-technician acknowledgment has been recorded;
- the command carries complete provenance — name, vehicle applicability, the raw payload, the expected response, and a non-empty reference to official OEM service information;
- you confirm a per-run dialog showing the payload, any vehicle mismatch warning, the source reference, and the safety notes.
Every transmission is written to a local execution log before it is sent.
The provenance is what unlocks execution — not the user. ViaVela supplies the mechanism; you supply and are responsible for the payload. ViaVela does not author, verify, endorse, or warrant any command you enter, and is not responsible for what it does to a vehicle.
The Software reports the ECU response honestly. A timeout, a "no data", or a negative response is shown as such and is never presented as success.
5A. Qualified active tests
Separately from Professional Mode, the Software includes a small library of qualified active tests: each one is a fixed command written for a stated vehicle configuration from a cited source, and you cannot change its payload. A qualified test runs only after you prepare it for the vehicle's full VIN and your adapter, the Software confirms the vehicle matches the test's requirements (for example, the stated protocol, the engine not running and adequate battery voltage) both while preparing and again just before sending, and you then confirm it separately. An unused confirmation expires. The Software sends the request once and never retries it on its own.
Some actuators cannot be released electronically. Where a test's description says so, the only way to end it is to turn the ignition fully off — stopping the test in the Software does not end it, and a timeout, disconnect or restart does not either. The Software tells you so, and blocks further tests and case changes until you confirm that you turned the ignition off. The Software cannot confirm that a component actually moved or that a test ended; it reports only what the vehicle answered.
A qualified test is not qualified for any vehicle other than the one it describes, and a successful answer from the vehicle does not prove the component works. Every request is written to a local log before it is sent.
6. AI features
The Software includes an AI chat aid that runs locally on your machine; it does not send vehicle data to a cloud service. It can be wrong, including confidently wrong. Its output is a starting point for your own diagnosis and must be checked against official service information. It never triggers a vehicle command.
6A. Online vehicle data
Vehicle identification, recall and complaint information comes from public U.S. government services (NHTSA). That information can be incomplete, out of date or unavailable, and a failed or empty lookup does not mean a vehicle has no recalls or complaints. Public complaints are owner reports, not findings. Check open recalls with the manufacturer or NHTSA before you rely on them for a repair or a customer conversation.
6B. Shop records, estimates and invoices
The shop features help you keep customer and vehicle records, parts stock and work orders. You set the prices, labour rates and tax rates, and you are responsible for the accuracy of every estimate and invoice you give a customer, for any written-estimate or repair-authorization rules that apply to your shop, and for your tax obligations. The Software is not accounting or tax software and does not file or report anything for you.
7. Reference material and third-party sources
The Software can display wiring diagrams and reference data from sources you configure or obtain, and can query public vehicle-data services. ViaVela does not grant you any right to third-party manuals, diagrams, or databases, and you are responsible for holding the necessary rights or subscriptions for any material you load or access. Those sources' own terms apply to you directly.
8. Your data stays with you
The Software stores cases, diagnostic records, shop records and settings locally on your machine. It sends a scanned VIN to the public NHTSA vehicle-decoding service unless you turn that lookup off for the scan, as the Privacy Notice describes. ViaVela does not collect telemetry, usage analytics, or your vehicle or customer data, and has no remote access to your installation. You are responsible for your own backups and for the customer information you keep.
9. No warranty
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" AND WITHOUT WARRANTY OF ANY KIND, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. ViaVela does not warrant that diagnostic readings, AI output, or reference material are correct, complete, or suitable for any particular vehicle.
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, VIAVELA IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, VEHICLE DAMAGE, PROPERTY DAMAGE, OR PERSONAL INJURY, arising out of or relating to the Software. ViaVela's total aggregate liability is limited to [the greater of the amount you paid for the Software in the 12 months preceding the claim, or $100 — counsel to confirm].
Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited — including, in many jurisdictions, liability for death or personal injury caused by negligence. (Counsel: confirm the enforceable formulation for each jurisdiction of distribution; a blanket personal-injury exclusion is void in many of them.)
11. Indemnity
You will indemnify ViaVela against claims arising from your use of the Software, including any command you transmit to a vehicle, any circumvention of Section 4 or of the requirements in Section 5A, and any third-party material you load without the necessary rights.
12. Term and termination
This licence continues until terminated. It ends automatically if you breach Sections 1, 4, 5, 5A, or 7. On termination you must stop using and remove the Software.
13. Open-source components
The Software includes third-party open-source components under their own licences; see [NOTICES file path — fill once the first release is cut]. Those licences govern those components and nothing here limits your rights under them.
14. Governing law
[GOVERNING LAW STATE — counsel to confirm; ViaVela Solutions LLC is a Nebraska entity], excluding conflict-of-laws rules. Venue: [___ County, Nebraska — confirm with counsel]. (Where you are a consumer, mandatory consumer-protection law in your jurisdiction may apply regardless.)
